Terms & Conditions of Affiliate Agreement (“Agreement”)

Affiliate marketing solutions by Zoren.com is bound by this Agreement that contains the complete terms and conditions that apply to applicant’s participation, in affiliate marketing program top of the Zoren.com’s priority, as an affiliate. As used in this Agreement, the following term definitions shall apply: "we", "us" and “our”  shall represent Zoren.com, and "you" or "your" or "Participant" shall represent Affiliate as defined in this Agreement; “Customer” shall be Zoren.com’s customer.

1. Order Processing
Zoren.com will be responsible for providing all the material and information necessary to allow Affiliate to make appropriate Links from the affiliate marketing solution site to Zoren.com. We will process orders placed by customers who follow the banners, icons and links from Affiliate site to our site where the payment gateway is in place. We will be solely responsible for all aspects of order processing and fulfilment, including order entry, payment processing, dispatch, cancellations, returns and related customer service. We will track the volume and amount of sales generated by your site and this will be available to Affiliate through our site. The representation of all sales information is within Zoren.com’s sole domain and may be changed without prior notice. To enable and permit accurate tracking, reporting, and fee accrual, Affiliate shall ensure that the Links between Affiliate site and Zoren.com are in correct working order.

2. Products available on affiliate marketing program top of Zoren line
Qualifying Products are listed on Zoren.com and Zoren.com reserves the right to increase or decrease products listed at any time, at Zoren.com’s sole discretion, to reflect changes in the market.

3. Sales Tracking
Affiliate of Zoren’s affiliate marketing solutions shall be solely responsible for ensuring that all Affiliate links are active and link accurately to Zoren.com, a necessary prerequisite to tracking such sales. Zoren.com will track the volume and amount of sales generated by Affiliate site and this will be available to Affiliate via a user login provided to you. You may add as many links, or remove such links, at anytime and without prior approval from Zoren.com.

4. Policies  

ANTI-SPAM
Zoren.com policy applies to all orders: Every customer who buys a zoren’s affiliate marketing program top products is deemed to be a customer of Zoren.com. The Participant does not have the authority to make or accept any offer on behalf of Zoren.com.  All Zoren.com policies regarding customer orders, including product availability, pricing and problem resolution, will apply to all customers generated through Affiliate participation in Zoren.com’s Affiliate marketing solution. Zoren.com is not responsible for any representations made by the Participant that contradict Zoren.com’s policies and shall indemnify Zoren.com against any actionable Affiliate misrepresentations.

We are totally ANTI-SPAM!!! Zoren.com has a ZERO-TOLERANCE SPAM Policy! If affiliate violates the ZERO-TOLERANCE SPAM Policy, this Agreement shall be deemed null and void, revoked, and legal remedies may be invoked to the fullest extent of the law to protect Zoren.com’s interests.
AFFILIATE SHALL NOT Promote Zoren.com with SPAM!

SPAM is defined as one or more commercial or noncommercial unsolicited electronic messages. Affiliate shall not reference the Zoren.com address in any unsolicited electronic messages. You may not do anything that would cause people to complain about your advertising practices. Any marketing using SPAM, which routes back to Zoren.com, will not be tolerated and shall be protected to the fullest extent of the law.
THIS INCLUDES SO-CALLED "TARGETED" MAILING LISTS and BULK EMAIL CAMPAIGNS! IF YOU DO NOT RECEIVE EXPLICIT PERMISSION FROM ZOREN.COM TO SEND EMAIL TO *EVERYONE* ON AFFILIATE’S LIST, THEN AFFILIATE IS IN VIOLATION OF THIS POLICY!

In other words, you may not cause any message to be sent to anyone unless they explicitly ask for said message!
It is strongly suggested that you read the complete affiliate program solutions terms and conditions.
Once you read the terms and conditions you will understand that Zoren.com may sue you and charges may be lodged against you for damages and fraud by sending Spam or violation of any of the other terms of this agreement.
If your account is cancelled for SPAM, your license to promote Zoren.com will be permanently revoked and all commissions due to you will be forfeited. So please keep this in mind before chalking out on your marketing plans.

Promotions Using Brand Names and Registered Trademarks

UNDER NO circumstances is Affiliate granted permission to promote our services/products using Brand Names or Registered Trademarks. Affiliate shall promote Branded products only if they are available as a Branded product on Zoren.com.
Affiliate shall not mislead visitors by promoting Generic drugs as Brand drugs or vice versa.
NOW THAT YOU ARE AWARE THAT YOUR LICENSE TO PARTICIPATE AS AN AFFILIATE STRICTLY PROHIBITS THE ABOVE SPECIFIED PROHIBITED ACTIVITIES, IF YOU BLATANTLY BREAK OR VIOLATE ANY OF THESE RULES AND POLICIES, YOU MAY BE SUED TO THE FULLEST EXTENT OF THE LAW. TERMINATION OF YOUR AFFILIATE ACCOUNT will result in the event you: (a) violate the terms of our Affiliate marketing program top Agreement specified herein; (b) promote Zoren.com in a manner that is unethical, inappropriate, or in contravention to the policies of Zoren.com; or (c) for any reason, in our sole discretion.

Affiliate Orders for Personal Consumption
As an Affiliate, you are free to place orders on our website for personal consumption. Commissions will be paid on orders placed for personal consumption by an Affiliate.

5. Pricing and availability
Product prices and availability may change at any given time at Zoren.com’s sole discretion. In case of any price discrepancies, the price charged to the customer will always be the price listed on Zoren.com web page(s) linked from your sponsoring website. We cannot guarantee the availability or price of any particular Product.

6. Copyrighted and Trademarked material
You are solely responsible for ensuring that your reviews, product descriptions and drug based content (if applicable at your site) obey all applicable copyright, trademark, and other laws. Zoren.com will not be responsible if you use another party copyrighted or trademarked material in violation of the law.

7. Term of the Agreements
The term of this Agreement will begin upon our acceptance of your Affiliate Application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Notice by e-mail, to your address on our records, is considered sufficient notice to terminate this affiliate marketing solution Agreement. If this Agreement is terminated because you have violated the terms of this Agreement or if this Agreement is terminated for any other reason, you are only eligible to earn a referral fee on sales occurring during the term of the Agreement, and referral fees earned through the date of termination will remain payable only if the related orders are not cancelled or returned. We reserve the right to withhold your final payment for 15 days to ensure that the correct amount is paid.

8. Changes to Terms and Conditions
We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion.

9. Relationship of Parties
You and Zoren.com is independent contractors, and nothing in this affiliate marketing solutions Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section.

10. Limitation of Liability
We will not be liable for indirect, incidental, special, or consequential punitive or multiple damages, including without limitation any damages resulting from loss of use, loss of business, loss of revenue, loss of profits, or loss of data, arising in connection with this affiliate marketing solution Agreement or Zoren.com performance of services or of any other obligations relating to the Agreement, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement will not exceed the total commissions paid or payable to you under this Agreement. The foregoing limitation of liability shall apply regardless of the cause of action under which such damages are sought.

11. Disclaimers
We make no express or implied warranties or representations with respect to the affiliate marketing program top Products or other items sold through Zoren.com (including, without limitation, warranties of fitness for a particular purpose, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

12. Representations and Warranties
You hereby represent and warrant to us that this affiliate marketing solution Agreement has been duly and validly executed and delivered by you and constitutes your legal, valid and binding obligation, enforceable against you in accordance with its terms and that the execution, delivery and performance by you of this Agreement are within your legal capacity and power have been duly authorized by all requisite action on your part require the approval or consent of no other persons and neither violate nor constitute a default under the (i) provision of any law, rule, regulation, order, judgment or decree to which you are subject or which is binding upon you, or (ii) the terms of any other agreement, document or instrument applicable to you or binding upon you.

13. Notification of Account Changes.
You agree to provide us with such other information relating to your use of this service, as we deem necessary or desirable. Affiliate shall notify Zoren.com if Affiliate address, email address, telephone number, or billing information changes.

14. Indemnification
You hereby agree to indemnify, defend and hold harmless Zoren.com its shareholders, officers, directors, employees, agents, Zoren.com affiliates and not Affiliates as defined in the terms of this Agreement, successors and assigns, from and against any and all claims, demands, losses, liabilities, damages or expenses (including attorneys fees and costs) of any nature whatsoever incurred or suffered by us (collectively the "Losses"), in so far as such Losses (or actions in respect thereof) arise out of, are related to, or are based on (i) any claim or threatened claim that our use of the Affiliate Trademarks infringes on the rights of any third party (ii) the breach of any representation or warranty made by you herein or (iii) or any claim related to your site.

15. Returns & Chargeback’s
If product is returned and there is a charge back the sales amount will be deducted from the Affiliate sales. Payments will not be made for such sales and if made earlier, will be adjusted in the later sales.
THIS IS A LEGAL AGREEMENT BETWEEN YOU, the AFFILIATE, AND Zoren.com BY CLICKING ON THE "I AGREE" LINK AT THE END OF THIS AFFILIATE JOIN FORM YOU ARE STATING THAT YOU HAVE READ AND UNDERSTAND THE TERMS SET FORTH HEREIN AND ARE INDICATING YOUR ACCEPTANCE OF THIS AFFILIATE AGREEMENT AND YOU AGREE TO BE BOUND BY THE TERMS HEREOF in the affiliate marketing solutions.
